Terms & Conditions

These terms govern all commercial arrangements entered into with SponsorStack Ltd, including annual sponsorship packages, club agreements, and use of the Matchday Marketplace.

Definitions

In these Terms & Conditions, the following terms have the meanings set out below.

SponsorStack
SponsorStack Ltd, a company registered in Scotland.
Sponsor
Any business or individual entering into a commercial sponsorship arrangement through SponsorStack.
Club / Athlete
Any sports club, team, or individual athlete registered with SponsorStack to receive sponsorship support.
Stack
A curated group of clubs and athletes combined under a single sponsor arrangement by SponsorStack.
Agreement
The signed commercial agreement between SponsorStack and the Sponsor or Club, incorporating these terms.
Client Account
A dedicated account held by SponsorStack in which sponsor payments are received and from which club distributions are made.
Marketplace
The SponsorStack Matchday Marketplace platform, accessible at sponsorstack.co.uk/sponsor-local-sports, through which individual sponsorship slots are listed and booked.
Marketplace Slot
An individual matchday sponsorship opportunity listed on the Marketplace by a registered club or athlete.
Platform Fee
The 15% fee added by SponsorStack on top of the club’s listed slot price, charged to the Sponsor at the point of booking.

General Terms

2.1 Acceptance

By signing a SponsorStack Agreement, submitting a Marketplace listing, or completing a Marketplace booking, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions in full.

2.2 Amendments

SponsorStack reserves the right to update these Terms & Conditions at any time. Material changes will be communicated to active parties in writing with a minimum of 14 days’ notice. Continued use of SponsorStack services after that period constitutes acceptance of the updated terms.

2.3 Capacity

All parties entering into an agreement with SponsorStack warrant that they have full legal capacity and authority to do so, and that no existing obligation prevents them from fulfilling their commitments.

2.4 Entire Agreement

These Terms & Conditions, together with any signed Agreement and relevant schedules, constitute the entire agreement between the parties and supersede all prior discussions, representations, and understandings.

Club & Athlete Terms

4.1 Deliverables

Clubs and athletes agree to fulfil all contracted deliverables as specified in their Club Agreement. Deliverables include but are not limited to: kit branding, venue signage, social media content, and quarterly data submission.

4.2 Non-Circumvention

Clubs and athletes agree not to enter a direct commercial relationship with any sponsor introduced by SponsorStack for a period of 24 months following termination of their Agreement. This clause does not restrict clubs from sourcing their own independent sponsors at any time.

4.3 Stack Composition

SponsorStack guarantees that no two clubs from the same sport will be placed in the same regional stack. A club’s sport-specific commercial inventory in its region is exclusively reserved for that club for the duration of the agreement.

4.4 Revenue Distribution

Club revenue share percentages are agreed and fixed in the Club Agreement before signing. SponsorStack will distribute agreed revenue shares within 30 days of sponsor payment clearing the Client Account. SponsorStack earns commission only when sponsor payment is received.

4.5 Sponsor Withdrawal

If a sponsor withdraws mid-contract, SponsorStack will pursue any outstanding payments and seek a replacement sponsor within 60 days. Funds already received and held in the Client Account remain fully protected. If no replacement is found within 60 days, club delivery obligations are suspended with no penalty to the club.

Payment Terms

5.1 Sponsor Payments

Annual sponsor fees are due in full within 14 days of the Agreement being executed unless a payment schedule has been agreed in writing. Overdue payments accrue interest at 4% above the Bank of England base rate from the due date.

5.2 Client Account

All sponsor payments are received into a dedicated SponsorStack Client Account and are held separately from SponsorStack’s operating funds. This protects club revenue shares in the event of any commercial difficulty affecting SponsorStack’s operating business.

5.3 VAT

All fees quoted are exclusive of VAT unless explicitly stated otherwise. VAT will be charged at the prevailing rate where applicable.

5.4 Refunds

Annual sponsorship fees are non-refundable once delivery has commenced, except in the case of a material breach of these terms by SponsorStack. For Marketplace bookings, refer to the Matchday Marketplace Terms below.

Intellectual Property

6.1 Sponsor Assets

The Sponsor retains full ownership of all brand assets supplied to SponsorStack. By supplying assets, the Sponsor grants SponsorStack and the clubs in the relevant stack a limited, non-exclusive licence to use those assets solely for the purposes of fulfilling the contracted deliverables.

6.2 SponsorStack Materials

All reports, templates, presentations, and other materials produced by SponsorStack remain the intellectual property of SponsorStack Ltd. Clients may not reproduce or distribute these materials without written consent.

6.3 Club Content

Clubs and athletes retain ownership of all content they create in fulfilment of their deliverables. By creating and publishing sponsor-tagged content, clubs grant the Sponsor a limited licence to share and reference that content for commercial purposes.

Limitation of Liability

7.1 Cap on Liability

SponsorStack’s total liability to any party under or in connection with these terms shall not exceed the total fees paid by or to that party in the 12 months preceding the claim.

7.2 Exclusions

SponsorStack shall not be liable for any indirect, consequential, special, or punitive loss including but not limited to loss of profit, loss of reputation, or loss of opportunity arising from a failure in delivery by a club or athlete.

7.3 Force Majeure

Neither party shall be held liable for failure to fulfil obligations where that failure is caused by circumstances beyond their reasonable control, including but not limited to pandemic, natural disaster, or government restriction. Obligations will be suspended for the duration of such circumstances.

Termination

8.1 Termination for Breach

Either party may terminate the Agreement with immediate effect upon written notice if the other party commits a material breach and fails to remedy that breach within 14 days of receiving written notice requiring it to do so.

8.2 Termination for Insolvency

Either party may terminate immediately if the other party enters administration, receivership, liquidation, or any formal insolvency process.

8.3 Effects of Termination

Upon termination, all outstanding payment obligations remain enforceable. Any funds held in the Client Account attributable to services already delivered will be distributed to the relevant clubs within 30 days. The non-circumvention clause in sections 3.5 and 4.2 survives termination.

Matchday Marketplace Terms ⚡ Marketplace

These terms apply specifically to the SponsorStack Matchday Marketplace — the platform through which individual matchday sponsorship slots are listed by clubs and athletes and booked by sponsors. They apply in addition to the General Terms above.

9.1 The Marketplace Platform

The SponsorStack Matchday Marketplace is an online platform operated by SponsorStack Ltd that enables registered clubs and athletes to list individual matchday sponsorship slots for purchase by local businesses and sponsors. SponsorStack acts as the facilitating agent between the listing club and the purchasing sponsor.

9.2 Platform Fee

SponsorStack adds a 15% platform fee on top of the club’s listed slot price. This fee is charged to the Sponsor at the point of booking and is separate from the club’s listed price. The club receives their full listed amount. The platform fee is non-refundable in all circumstances except where the slot is cancelled by the club.

Example: A club lists a Man of the Match slot at £75. SponsorStack adds £11.25 (15%). The Sponsor pays £86.25 in total. The club receives £75.

9.3 Listing Requirements

To list a slot on the Marketplace, clubs and athletes must:

  • Be registered with SponsorStack and agree to these terms
  • Confirm they have authority to list the slot on behalf of the club
  • Confirm the slot does not conflict with any existing SponsorStack annual arrangement
  • Provide accurate information about what the sponsor will receive
  • Provide a valid fixture date and contact details

SponsorStack reserves the right to reject or remove any listing that is inaccurate, misleading, or conflicts with an existing arrangement.

9.4 Listing Approval

All Marketplace listings are subject to review and approval by SponsorStack. SponsorStack will review and respond to all submissions within 48 hours. SponsorStack’s decision to approve or reject a listing is final. Approved listings are published on the Marketplace and remain live until the fixture date passes or the slot is booked.

9.5 Booking & Payment

When a Sponsor books a Marketplace slot, the Sponsor agrees to pay the total amount displayed at checkout (club’s listed price plus the 15% platform fee). Payment must be made in full at the time of booking. SponsorStack will confirm the booking with both the club and the Sponsor within 24 hours of payment being received.

9.6 Club Delivery Obligations

Upon confirmation of a booking, the relevant club or athlete must:

  • Accept and acknowledge the booking within 24 hours
  • Fulfil all deliverables described in the listing on the fixture date
  • Submit photo evidence of fulfilment to SponsorStack within 24 hours of the fixture

Failure to fulfil a booked slot without reasonable notice may result in suspension from the Marketplace and a full refund being issued to the Sponsor at the club’s cost.

9.7 Club Payment

SponsorStack will transfer the club’s listed price to the club within 7 days of receiving satisfactory photo evidence of slot fulfilment. Payment is conditional on evidence being submitted in accordance with clause 9.6. SponsorStack reserves the right to withhold payment where a club has demonstrably failed to fulfil the booked slot.

9.8 Cancellation & Refunds — Sponsors

  • More than 72 hours before the fixture: Full refund of the slot price. The platform fee (15%) is non-refundable.
  • Within 72 hours of the fixture: No refund is available. The sponsor acknowledges that clubs may have already incurred costs in preparation.
  • Club cancellation: If the club cancels or fails to deliver the slot, the Sponsor receives a full refund including the platform fee.

Important: Refund requests must be submitted to SponsorStack in writing at sponsorstackltd@gmail.com within 48 hours of the cancellation or non-delivery event.

9.9 Cancellation — Clubs

If a club needs to cancel a booked slot, they must notify SponsorStack in writing as soon as possible and no later than 48 hours before the fixture. Late or undisclosed cancellations may result in:

  • Immediate suspension of the club’s Marketplace listing privileges
  • Recovery of refund costs from the club’s next payment
  • Permanent removal from the Marketplace at SponsorStack’s discretion

9.10 No Exclusivity on Marketplace Slots

Marketplace slots do not confer category exclusivity. A Sponsor booking a single matchday slot is not entitled to prevent other businesses in their sector from booking slots at the same or other clubs unless they hold an active annual SponsorStack Agreement that includes category exclusivity provisions. Category exclusivity is a feature of annual arrangements only.

9.11 Logo & Brand Asset Requirements

Upon booking confirmation, the Sponsor must supply a high-resolution logo and any relevant brand guidelines to SponsorStack within 48 hours. SponsorStack will distribute these to the relevant club. Failure to supply assets within this window may limit the club’s ability to fulfil the slot. SponsorStack will not be liable for delivery shortfalls caused by late asset submission.

9.12 Evidence Delivery

SponsorStack will deliver photo evidence of slot fulfilment to the Sponsor within 24 hours of the fixture, subject to the club submitting evidence in accordance with clause 9.6. Evidence is provided in good faith and is not a warranty of commercial outcome.

9.13 Marketplace Liability Cap

SponsorStack’s total liability in connection with any single Marketplace transaction shall not exceed the total transaction value (club’s listed price plus platform fee). SponsorStack is not liable for any consequential loss arising from non-delivery, late delivery, or quality of delivery by a club or athlete.

9.14 Relationship to Annual Arrangements

Clubs already holding an annual SponsorStack arrangement may list Marketplace slots provided those slots do not conflict with the deliverables or exclusivity provisions of their existing agreement. Where any conflict exists, the annual agreement takes precedence. SponsorStack reserves the right to remove any listing that conflicts with an existing arrangement.

9.15 Marketplace Availability

The Marketplace is currently in a launching phase. SponsorStack makes no guarantee as to the number of available slots, the geographic coverage of listings, or the continuous availability of the platform. SponsorStack may suspend, modify, or discontinue the Marketplace at any time with reasonable notice to active listing clubs.

10

Governing Law & Disputes

10.1 Governing Law

These Terms & Conditions and any Agreement incorporating them are governed by and construed in accordance with the laws of Scotland. All disputes shall be subject to the exclusive jurisdiction of the Scottish courts.

10.2 Dispute Resolution

In the event of a dispute, the parties agree to attempt resolution through good faith negotiation for a period of 30 days before commencing formal proceedings. Where a dispute cannot be resolved by negotiation, either party may refer the matter to a mutually agreed mediator before resorting to litigation.

10.3 Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable. All remaining provisions remain in full force and effect.
